About these Terms

These Terms govern your use of the Services provided by Streamups Software LTD ("we", "us", "our"). By creating an Account, purchasing a Subscription, or using the Services, you agree to these Terms.

Definitions

In these Terms:

  • Services: the web app, overlay tools, integrations, and related features we provide.
  • Overlay Pages: publicly accessible URLs provided by us for use in streaming software or browser sources.
  • User: any person who accesses or uses the Services.
  • Account: your registered account with us.
  • Subscription: a paid plan granting access to certain Services.
  • Content: any text, media, configurations, data, prompts, outputs, or other materials you submit, upload, or generate via the Services.
  • Third-Party Platforms: platforms such as Twitch, YouTube, TikTok, Kick, Discord, and similar services.
  • Multi-Streaming (Restream): simultaneous broadcasting of your stream to multiple Third-Party Platforms via our relay infrastructure.
  • Multi-Camera Collaboration: real-time video and audio communication between multiple participants using WebRTC technology for collaborative streaming.
  • Stream Chat: our chat aggregation service that collects and displays messages from connected Third-Party Platforms.
  • Link Chat: cross-streamer chat merging that routes messages between collaborating streamers' chat feeds.
  • Usage Limits: the monthly hour allocations, quality restrictions, and feature caps applicable to your Subscription tier.
  • RTMP: Real-Time Messaging Protocol used to transmit video and audio to streaming platforms.
  • WebRTC: Web Real-Time Communication technology for peer-to-peer video and audio.
  • Collaborator: another User with whom you share or merge Services.

Eligibility and Account

You must be at least 16 years old to create an Account. You are responsible for keeping your Account secure and for all activity under it. You must provide accurate information and keep it up to date.

The Services and Overlay Pages

We provide tools for stream chat overlays, custom chats, merged chat integrations, and optional AI features. Overlay Pages are publicly accessible; anyone with the URL may view them. You must ensure your use of Overlay Pages complies with applicable laws and Third-Party Platform rules.

Acceptable Use

You agree not to:

  • Use the Services to break the law or infringe others' rights.
  • Transmit unlawful, harmful, abusive, or hateful content.
  • Bypass security, rate limits, or access controls.
  • Interfere with or degrade the Services.
  • Use the Services to collect data from users without proper notices or consents.

Service Usage Limits

Your Subscription tier determines your monthly usage allocations. Limits reset at the start of each billing period.

  • StreamUps provides unlimited multi-streaming on all plans. We reserve the right to review accounts that consistently exceed 200 hours per month or exhibit usage patterns inconsistent with normal live streaming activity.
  • StreamUps provides unlimited multi-camera usage on all plans. We reserve the right to review accounts that consistently exceed 200 hours per month or exhibit usage patterns inconsistent with normal live streaming activity.
  • AI Features: Subject to fair use. Excessive automated usage may be throttled.
  • Rate Limiting: All Services are subject to rate limits. Exceeding limits may result in temporary throttling.
  • Usage limits do not roll over. Unused hours expire at the end of each billing cycle.

Service Reliability Disclaimers

Our Services depend on multiple external factors. You acknowledge:

  • Multi-Streaming Interruptions: Stream relay may fail due to network conditions, platform issues, or server capacity. We are not liable for stream drops, interruptions, or failed broadcasts.
  • Chat Message Loss: Messages may fail to be delivered or persisted due to platform rate limiting or connection issues. Messages are broadcast before being saved; some may not be stored. We are not liable for lost or missing chat messages.
  • Multi-Camera Issues: Video and audio connections may fail due to WebRTC connectivity, network conditions, or service capacity. We are not liable for video/audio quality issues, connection failures, or session interruptions.
  • No Uptime Guarantee: We do not guarantee any specific uptime, latency, or quality of service. Services are provided on a best-effort basis.
  • Third-Party Dependence: Services integrate with Third-Party Platforms whose availability is outside our control. Platform changes may affect Services without notice.

Third-Party Platforms

You are responsible for complying with Third-Party Platform terms and policies. We are not affiliated with, endorsed by, or sponsored by any Third-Party Platform.

By using StreamUps, you agree to be bound by the YouTube Terms of Service.

AI Features (if enabled)

AI outputs may be inaccurate, incomplete, or inappropriate. You are responsible for how you use AI outputs and for reviewing them before use. We do not guarantee AI accuracy or suitability. You must not use AI features to generate unlawful or infringing content. When using AI-generated chat overlays, you are responsible for disclosing to your audience that chat activity includes simulated or AI-generated messages, and for complying with any disclosure requirements of streaming platforms you use.

Fees, Billing, and Subscriptions

Subscription billing terms:

  • Billing Cycle: Subscriptions are billed monthly from your subscription start date.
  • Fees are shown at checkout. Taxes (including VAT) may apply based on your location.
  • Subscriptions renew automatically unless cancelled before the renewal date.
  • Upgrades: When upgrading (including bundled products), you are charged a prorated amount for the remainder of your billing period. The new tier takes effect immediately.
  • Downgrades: When downgrading, the change takes effect at the end of your current paid billing period. You retain access until then.
  • Trials, discounts, or promotions may be offered on specified terms.
  • You can cancel at any time; access continues until the end of your billing period.
  • Refunds are not guaranteed and are handled according to our refund policy (if any) or applicable law.
  • Chargebacks without prior contact may result in suspension.
  • Bundled Subscriptions: Bundle pricing applies to the bundle as a whole. Individual products within bundles follow bundle upgrade/downgrade rules.
  • Usage limits do not roll over between billing periods. Unused hours expire at the end of each cycle.
  • Price Changes: We may adjust subscription prices from time to time. If we increase prices, we will notify you at least 30 days before the change takes effect. Continued use of the Services after a price increase constitutes acceptance of the new pricing.

Intellectual Property

We own the Services, software, and templates. You keep ownership of your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, process, and display your Content to provide the Services, including on Overlay Pages.

Availability, Maintenance, and Changes

We aim to keep the Services available but do not guarantee uninterrupted access. Maintenance or outages may occur. We may update or change features at any time.

Suspension and Termination

We may suspend or terminate access if you breach these Terms, misuse the Services, or if required to protect the Services or other users. You may stop using the Services at any time and cancel your Subscription.

Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

To the maximum extent permitted by law, we are not liable for:

  • Indirect or consequential losses, loss of profits, data, or goodwill.
  • Stream interruptions, drops, or relay failures.
  • Lost, undelivered, or corrupted chat messages.
  • Video/audio quality issues, connection failures, or session interruptions.
  • Actions or changes by Third-Party Platforms affecting our Services.
  • Loss of Content, configurations, or settings.

Our total liability in any 12-month period is limited to the fees you paid in that period.

Indemnity

You agree to indemnify us against claims arising from your use of the Services, your Content, or your breach of these Terms.

Governing Law

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction.

Changes to these Terms

We may update these Terms. The version and effective date will change, and we will notify you of material changes. Continued use after the effective date constitutes acceptance for logged-in users. This does not replace cookie consent requirements.
